PUBLIC CONTRACT OFFER

 The information below is an official proposal (offer) to any natural or legal person to enter into an agreement on the provision of fixed-line long-distance and international calls using only IP telephony technology with the use of the Internet in the territory of Ukraine (hereinafter - services). This Agreement is a public, under Article 633 of the Civil Code of Ukraine its conditions are the same for all consumers.

 In such event, the Agreement shall be deemed concluded, and our company - to commit themselves to provide services.

 PUBLIC CONTRACT
 On the provision of fixed-distance and international telephony services using only the technology IP telephony using the Internet in Ukraine.
 Limited Liability Company "Atlantis Telecom", then OPERATOR, represented by General Director Kopiyka Oleg Valentinovitch acting on the basis of the Charter, which is subject to income taxes on the same basis, on the one hand, and any private person who owns the full civil capacity, or Any legal person on the consumer, on the other hand, have concluded this Agreement as follows:
 1. Subject of a contract

 On the basis of this agreement, customers order and the operator takes on the responsibility for providing consumers with fixed-line long-distance and international calls using only IP telephony technology with the use of the Internet in Ukraine and related activities, as listed in the product's name, which is published on the OPERATOR site, as well as tariffs, resources and services that are published on the website in the section Operator Tariffs.
 2. General Provisions

 2.1. This Agreement is a public offer and has the proper legal effect in accordance with the current legislation of Ukraine.
 According to Article 642 Chapter 53 of the Civil Code of Ukraine, the unconditional acceptance of the public offer terms (the Agreement) is the CONSUMER's confirm agreement with all clauses of the Agreement and further registration.
 2.2. Services are provided and can be obtained in accordance with the Law of Ukraine "On Electronic Telecommunications", the Rules of provide and receive telecommunications services, approved by the Cabinet of Ministers of Ukraine № 295 of 11.05.2012, licensing conditions, other legal acts, as well as the Terms and Conditions as published on the website atelecom.biz.
 2.3. Operators provide (Operates) under License number 000863 issued by the NCCIR Ukraine of 05.09.2017, License number 000864 issued by the Ukrainian NCCIR from 05.09.2017, permits the use of a national identification code of the destination network "894" from 03.11.2017.
 2.4. OPERATOR included in the register of operators and providers of 03.02.2020, under the number 56.
 2.5. CONSUMER fill out a registration form on the website http://atelecom.biz, activates the link, thereby committing an acceptance of this offer.
 2.6. THE OPERATOR makes registration in the Atlantis Telecom network by assigning to CONSUMER number with code 380894хххххх and creating an account (account);
 2.7. OPERATOR activates the account and provides consumer’s access to SIP-services.
 2.8. OPERATOR provides consumer’s access to the Services in accordance with the selected tariff plan in case of positive balance of the personal account of consumers and determines the maximum number of seconds of the call, available to consumers, depending on the direction. If the balance is less than or equal 00.00 USD., the provision of the commercial Services is terminated.
 2.9. Provision of Services starts after full payment by CONSUMER of the initial payment relatively ordered goods and services for connecting to the Atlantis Telecom network under applicable Tariffs at the time of connection and Terms proceeds to the personal expense of the consumer.
 2.10. Certain goods and services actually received by consumer’s means that the goods and services have been ordered by the consumer.
 2.11. Local, long distance and international traffic are billed per second, starting from the first second.
 2.12. The operator can give to the consumer other related services under this Agreement. The cost of such services shall be published on the Operator website in the section Tariffs.
 3. Rights and duties

 3.1. USER agrees to:
Follow the Rules and Terms of Service provision (the condition) of OPERATOR;
Pay the operator's services in due time accordance with the terms and tariffs;
Monitor the balances of your personal account and in due time pay for the communications services and related services, in the manner and within the time limits provided by this Agreement;
 Keep confidentiality of your registration data.
 CONSUMER provides operators consent to the processing of his personal data have been provided to the operator at the conclusion of the contract. Consent is given to ensure the proper execution of the terms of the Agreement and maintenance of accounting.
 The consumer has the right to:
 Use services of their choice, which are provided by the operator in accordance Tariff Plans and condition of the operator;
Receive from the operator information about the content, quality, cost and terms of service in the manner prescribed by this Agreement and the requirements of operator;
 Abandon from previously selected tariff plan and / or select a different tariff plan in accordance with the Terms, Rules and Tariffs of operators;
 Require the operator to return the unused portion of funds. The procedure for returning unused funds is described in 6 part of this Agreement.
Stop receiving services with maintaining the telephone number (s), temporarily for a period not exceeding 12 calendar months;
Receive from the operator information about the usage of services in the manner prescribed by law;
Fill up a personal account for an amount greater than provided by the chosen tariff plan and terms of service.
 4. Rights and duties

 4.1. OPERATOR agrees to:
 Provide the Services in accordance with this Agreement, tariffs, Terms and Conditions;
 Provide information about the change in tariffs no later than 7 calendar days prior to the change;
 Fulfill the obligations specified in the Terms, the Rules and the legislation of Ukraine.
Before the provision of the Services Inform the CONSUMER about the quantity of hours / minutes / seconds, depending on the chosen destination and the balance of the personal account of the CONSUMER.
 4.2. OPERATOR is entitled to:
 Provide to consumer Communication services and related services under selected tariff plan;
 To establish and change tariffs for services;
Provides consumers with discounts on the services (from the existing tariff plans);
Change the consumer’s phone number(s) for technical reasons, with advance notice not less than 7 calendar days prior to the number changes or other period prescribed by law;
Suspend the provision of services in part or in full in the following cases:
 non-payment or late consumers payment of services in accordance with the selected tariff plan;
 CONSUMER full use of funds in his personal account;
if subscriber number is not active;
the subscriber number is consider as not active if within 90 days of activation and / or the last session of receiving the service,  consumer has not made outgoing calls to NDS with the corresponding code and / or incoming calls to the numbers with the corresponding code NDS;
if the Operator fixes the same type of action (outgoing calls), which had the same time and / or the direction and / or the duration and / or location and / or source of origin;
 use by consumers on a commercial basis or in any other manner their final terminal equipment and / or account, and / or phone numbers to provide services to third parties;
 In case of violation by CONSUMER at least one point of agreement and / or applicable law;
 the Services resumed after complete removal by CONSUMER violations that led to the suspension of the Services. Non-active is the phone number from which no / at least one incoming / outgoing call has been made for 180 calendar days;
 if the OPERATOR fixes the same type of actions (outgoing calls) that have the same time and / or direction and / or duration, and / or location and / or source of origin.
the provision of the Services is restored after the complete elimination of the CONSUMER violations that led to the suspension of the Services.
4.3. To terminate the provision of the Services unilaterally and to refuse the CONSUMERS to save the data without the possibility of their restoration in such case:
usage by the CONSUMER on a commercial basis or any other method of its end equipment and / or account, and / or subscriber numbers to provide the Services to third parties;
in case of violation of the CUSTOMER at least one item of the Agreement and / or current legislation;
the provision of the Services is restored after the complete elimination of the CONSUMER violations that led to the suspension of the Services.
4.4. The OPERATOR retains the number of the CONSUMER, for which the provision of the Services has been temporarily discontinued, within 90 days from the moment the Services are blocked.

 5. Rates, Tariffs and Payment

A user fee under this Agreement is made in accordance with the Tariff Plan and ordered services specified in the personal consumer account and current rates for services set by operator.  Payment of telecommunications services carried out by automatic payment from a personal consumers account in accordance to the consumed services..
 CONSUMER makes the following payments:
the payment for the telephone number provision;
 purchase of  prepaid cards for long distance and international fixed-line connection with the use of IP telephony technology using the properly rated Internet;
purchase additional services and goods to the site operator
The costs are passing to the personal consumers account after payment for the services. OPERATOR withdraws funds from the personal account of the subscriber for provided services under the Tariff Plans and Conditions
The operator has the right to use the consumers advance payments to for debt repayment for services.
 The suspension of the Services does not release you from the obligation to pay for services in accordance with applicable at the time of payment tariffs and conditions.
 USER agrees to maintain a positive balance of personal account. Operator may tell consumers by e-mail about the need to refill the account, when approaching the moment of exhaustion of personal accounts. The information about the personal balance consumer can also get using Control Panel online.
 6. Procedure for the return of unused funds
6.1. The remains of payments, which are on CONSUMER account balance, can be returned to the consumers in case of cancellation of services.
6.2. The payment for the provisioning of telephone number is obligatory one-time payment, which is can not to be returned, and / or recalculated, and / or credited to the CONSUMER personal account.
 6.3. Unused funds are returned by operator to the CONSUMER’s bank account, within non-cash payment.
6.4. OPERATOR returns unused funds to the CUSTOMER by cashless payment to the bank account of the CONSUMER, according to the instruction posted on the official website of the OPERATOR: http://www.atelecom.net.ua/en/faq/
 7. Responsibilities of the parties
 Operator does not provide Internet connection services to consumers, and assumes no responsibility for the poor quality of provisioned internet services.
OPERATOR shall not be liable to the consumer or a third party for any delay, interruption of access to the resource, damages or losses that occur:
 by equipment failure, not belong to operator, but is a part of the network;
in case of quality problem of links provided by other entities - as a consequence of force majeure in the conventional sense.
Operator is not responsible for the harm suffered by consumers and / or third parties in the case of disclosure and / or loss of customer’s registration details
 The customer is responsible for any unlawful activity and / or inactivity of consumers or persons using the identification data, and which caused any kind of damage to the operator.
 OPERATOR shall not be liable for any damages (including lost profits) suffered by consumers during the time of use or non-use of resources and services of the operator.
 Operator is not obliged to provide advice on general software. Such information can be obtained from the respective user manuals for the software.
 CUSTOMER is solely responsible for the regular monitoring of changes in the circumstances on the official website of OPERATOR http://atelecom.biz.

 8. Adjustment of disputes

 The parties will be adjusted any disputes, differences or claims that may arise under this Agreement or related to its execution by negotiation.
 All disputes are dealt with the written application sent by mail or fax.
If the parties can not reach agreement on the contentious issue through negotiations, these issues shall be resolved in accordance with current legislation of Ukraine..

 9. Final Provisions

 The Agreement shall enter into force when OPERATOR get the confirmation of the consumer’s agrees to the terms of this Agreement and the registration confirmation and valid until the parties fulfill their obligations under it. The Date of service provision beginning depends on the date of activation of consumers personalized cards; expiration date of service may be different from the end date of the Agreement.
 Terms and conditions of this Agreement is fully determined by agreement between the Parties and supersedes all prior oral and (or) the written agreement with respect to the subject matter hereof.
 The Agreement shall remain in force in case of change of details of the parties, changes in statutory documents of the operators, including, but not limited to, change of ownership, etc.
